Channing
M. Hall, III, P.L.L.C., maintains a general
practice of law, representing clients in
a broad spectrum of legal subjects. Mr.
Hall applies his knowledge and experience
in a variety of substantive areas of the
law to provide general legal advice, counsel,
and services, to a wide range of clients,
from individuals to corporations and other
entities, regarding a diversity of their
personal and business affairs. While the
firm places particular emphasis on the areas
described below, Mr. Hall also assists clients
in selecting, supervising, and managing
appropriate associated counsel, in those
specialized areas where he does not concentrate
his practice, when required to serve fully
the objectives of those he represents.

Working
closely with the client's team of accountants,
insurance and financial advisers, bankers,
portfolio managers, and /or trust officers,
Mr. Hall develops, plans, and implements
estate plans designed to meet the client's
personal, tax, and family objectives, whether
"routine" or sophisticated."
Mr. Hall drafts wills, trusts, powers of
attorney, and advance medical directives,
as well as more specialized documents, such
as irrevocable life insurance trusts, generation-skipping
trusts, family limited partnerships and
limited liability companies, charitable
trusts, lifetime giving plans, children's
trusts, and other instruments, to minimize
taxes, and to preserve and transfer wealth. |

Estate
Administration: |

Mr.
Hall represents executors, trustees, beneficiaries,
and heirs regarding the administration of
trusts and decedents' estates, probate,
post death tax planning, administrative
filings with local Clerks of Court and Commissioners
of Account, and compliance with Federal
tax laws and other governmental filings. |

Having
received an advanced law degree in taxation,
and served as an Attorney-Advisor to a Judge
of the United States Tax Court, Mr. Hall
assists clients in the formulation and implementation
of various tax planning strategies. The
firm also represents clients in the resolution
of tax disputes with the Internal Revenue
Service, including audit, appeals, and litigation
in the tax court. |

Mr.
Hall helps clients regarding the formation
and capitalization of their businesses,
and the selection of the appropriate business
entity in which to operate their enterprise,
whether "C" or "S" corporation, limited
liability company, or partnership. With
respect to existing businesses, Mr. Hall
plans and implements the acquisition and
disposition of business enterprises through
stock and asset sales, merger and reorganization
transactions, the succession and transfer
of ownership in family businesses, business
contracts and negotiations, and a wide variety
of commercial transactions. |

Hall practices in civil trial matters in
the State and Federal Courts for the Commonwealth
of Virginia, in all types of personal, commercial,
and business disputes, ranging from personal
injury to commercial, contractual, and other

Hall counsels clients on the acquisition,
financing, disposition, leasing, management,
and development of both residential and
commercial real estate, whether a simple

equity investment firm, Botetourt Capital
Partners, L.L.C., Mr. Hall can offer advice
to clients in the acquisition of venture
capital, "angel," and mezzanine financing,
for start-up, early stage, and late stage
emerging growth and "new" economy companies,
and in the assembling of appropriate securities
lawyers, venture capitalists, and investment
bankers, to serve the companies' capitalization
needs. |
